Times I Saw an Adult Cry I. I was very young when I first saw an adult cry.à I did not actually see an adult cry in person; I saw it on television.à Nonetheless, it was the first time I have seen an adult shed tears.à That night, I was at home with the babysitter when my mother left to run some errands.à I remember that the babysitter tucked me to my bed early and I immediately fell asleep.à After some time, I was awakened by the sounds of people talking.à It was rather loud, and I could hear the voices of a man and a woman in conversation. Out of curiosity, I got out of bed and opened the bedroom door.à At first, I thought that maybe the babysitter had some company. So I carefully walked downstairs to the den, where the babysitter usually stays.à I took a peek and found her alone.à The sounds I heard came from the television; she was only watching a movie.à I remember that it was an old movie, as it was in black and white.à To my surprise, the woman in the movie began to cry.à I was surprised because I have never seen the adults in my house cry.à I thought crying were only for babies and young children.à After that, I learned that adults can also cry. II. When I was younger, my family and I were on a road trip. The trip was generally smooth, until my father decided to take a short cut.à He was driving the car, and he turned left to a narrow dirt road.à It proved to be a wrong decision; the road led to a cemetery, where a burial was taking place.à The width of the road made it difficult to pass through, but the parked cars on both sides of the road made it more problematic. The traffic caused my father to drive slowly, allowing me to witness the burial.à I saw all of the mourners; all of them were dressed in black.à However, a man stood out in the crowd out of his sheer size. As a child, I was terrified of bald, stocky men.à They all seemed intimidating to me. The man in the cemetery was tall, stocky and bald.à Because he appeared intimidating, I did not expect him to cry in the burial. I was not used to seeing men cry, especially those of his size.à I was expecting him to be simply serious but not emotional.à Besides, it was said that men do not cry.à As we drove past the cemetery, I caught a glimpse of him pulling out a handkerchief and wiping his eyes.à He was indeed crying.à I contemplated that maybe the grief over the loss of a loved one may have been too much to bear, that it prompted a seemingly intimidating man to cry. III. Our next door neighbor was a woman with two children.à The woman had fair skin and dark curly hair. She was remarkably thin and was rarely seen at home.à My mother said that she worked two jobs so she could pay the rent and feed her children. I always liked her because whenever she was around, she would smile at me and her eyes would seem to smile too. She had those distinct smiling eyes.à One day, my mother and I went out of the house as we were hearing loud noises from her home. We saw this tall man coming out of her house, dragging the children with him. She was screaming while grabbing on to the manââ¬â¢s arm. She tried to stop him, but her small frame was no match to the manââ¬â¢s physique. The children were shouting for their mother as the man dragged them into the car. The man immediately hopped in the driverââ¬â¢s seat, closed the door, and drove away.à The woman just stood there in the street, her eyes still fixed on the car that just disappeared. A minute later, she bowed her head and covered her face with her hands. Then she began to cry.à Her cries became louder, and soon all our neighbors were already watching her. à I later found out that the man was her former husband and her childrenââ¬â¢s father. She worked so hard to take care of her children, only for them to be taken away from her.à I never saw her smiling eyes again.à She soon moved out. I believe it was after that incident when I truly began to have respect for single mothers who work hard to take care of their kids. IV. I am used to witnessing marriage proposals on television.à I have seen programs wherein the men would go down on one knee and the woman would then gasp in shock, cover their mouths with their hands and become motionless for a few seconds. Afterwards, they would become hysterical in glee. In the past, I thought that such moments were too emotional.à My opinion changed when I witnessed a marriage proposal firsthand.à I was in a coffee shop with a friend when a couple entered. They looked like the average couple; nothing seemed extraordinary about the two of them. The woman took her seat, while the man went to the counter to order.à I did not pay them much attention afterwards. It was not until much later when I realized they were deaf-mute, when I noticed that they were using sign language. I did not expect a proposal to occur, not in a coffee shop.à So when I saw the man go down on one knee, I was taken aback.à My friend and I watched closely, along with the other customers, as the woman nodded and hugged his future husband.à As the people in the shop cheered, tears were streaming down her face. Unlike other women, she did not overreact.à She was just happy, and her tears showed it.à I guess true love does make people happy, and the happiness does not have to be showy to be expressed. V. One time, I had the chance to watch The Oprah Winfrey Show.à I can remember that the episode featured a middle-aged African-American woman who took care of many children.à I cannot recall if she was married, but I know she had three children.à When the womanââ¬â¢s siblings died, she took the responsibility of raising them as well.à She and the children had to cram themselves in a small three-bedroom house.à She worked several jobs to support these kids, most of which are not even her own.à The problem was that the home was not hers and if she did not pay a certain amount within the specified time, they would be evicted. The woman and the children were invited to the show where they were to receive gifts from Oprah. They were given things they needed; they received new beds, kitchen appliances, and even a van.à However, the biggest surprise of all was when Oprah announced that they would be shopping for a new home. The woman hugged Oprah tight, and wiped the tears running down her face.à I knew the woman was happy because of all the material things she received. Most importantly, I know those tears were of gratitude.à It was not the material things per se that she was grateful for; she was thankful for the help that those things could offer her and the children.à I knew she deserved those things for all her dedication and hard work. Still, she was very grateful.

There are many things to consider before the final decision is made. First of all, exactly what do you want to accomplish? To make millions of dollars, right? Or is it to have the freedom of being your own boss? Whatever the reason, you must be sure that it is something that you are ready to devote an exorbitant amount of time and energy into and that it is something that you really want. Otherwise, you might be stuck doing something that you hate. If you are ready to commit then you must ask yourself just how far will that commitment extend. How much of your own time, energy, and money are you willing to sacrifice? After the decision is made, the acquisition of a small business can be summed-up into nine steps, in which most will be elaborated upon later. ââ¬Å"These are the nine steps to any business acquisition, regardless of its size or industry: 1. The search, locating a business available for sale. 2. Identifying alternative candidates. 9. Managing the transition period.â⬠(Tuller, 10) Some considerations that cannot be avoided when purchasing a small business include: the question of needing a partner, the current economic factors, considering alternate locations, and developing a tax strategy. When debating whether or not a partner is needed or wanted, you need to know if you're going to need additional equity as well as sharing the risk of failure. For these reasons, a partnership seems to be a great idea, but there are also many cons that should be recognized. Having too many partners can alter the ease of decision-making, shared liability can cause obvious problems, and sharing profits means less for you. Added to this, getting out of a partnership can be very difficult. Evaluating the current economic factors simply means to know what you are getting into. Be sure to have some knowledge about the business itself and it's market. Know how to make and sell the product efficiently and in a service industry, be sure to know the current and correct way things are done-sometimes they are not one in the same. Location is key. ââ¬Å"Location of the target can be a major determinate in both the financing of the deal and probable success in managing the business after closingâ⬠¦There's no sense spending time, effort, and money on a target located in the wrong place.â⬠(Tuller, 12) Along with this, the personal strife of having to travel a great distance to get to work can be very frustrating. So, be sure that the location of your potential business is profitable in every way. One the greatest minds of the 20th century, Albert Einstein, once said, ââ¬Å"tax is the most difficult thing in the world to understandâ⬠. Unfortunately, with the ever-changing laws, that problem gets worse every year. This means that you should have knowledge of the current tax laws. ââ¬Å"ââ¬ËYou will have a unique opportunity to make decisions on exactly how much money will change hands, and how I will allocated on the payment schedule.â⬠(Smorgenburg, 112) Maximizing profit for both you and the seller can only be done through proper knowledge of tax law, if you are not comfortable handling this alone, a consultant might not bad a bad idea. After all of the above is settled, the next thing to figure is the amount of initial income is required. Not only the income required to purchase the entity (which will be elaborated upon later), but also the amount of money that you need to survive for the years to come. ââ¬Å"If you need $100,000, then don't look at smaller companies which can only yield $30,000.â⬠(Tuller, 23) ââ¬Å"The following 13 steps will help to locate a target and close the deal in the shortest possible time-and when buying a company, time is money. 2. Prepare a reasonable Acquisition Plan. 3. Review current tax laws for structuring the deal. 4. Develop a detailed plan for sourcing potential targets. 5. Perform a preliminary due diligence investigation. 6. Negotiate a price and terms based on a realistic valuation. 7. Perform a thorough due diligence investigation. 8. Prepare a complete business plan. 9. Develop sources for at least three alternative financing structures. 10. Arrange for the final updated due diligence investigation. 11. Write the Buy/Sell Agreement and negotiate the final contract language. 12. Plan how you will operate the company after closing. Yet another crucial instrument in the purchase of any business is the Acquisition Plan. This document lists every step and detail leading to the closing of the deal. Starting with the industry survey, it lists the start date, the finish date, and the cost of each of these processes. Following the survey is the target search, then on to the due diligence investigations. The importance of this plan revolves around the organization of a solid purchase. With this, you are able to enact the purchase at the right moment for you, this time being a buyer's market. If you need to wait out the bear market, you can do it much easier with everything laid out in front of you. Hence, the Acquisition Plan does the job. All of the above steps and considerations are a waste if you are unable to find a business for sale. The difficulty of finding the type of business that you will purchase is put to ease through an M & A consultant, accountant, or simply browsing the Wall Street Journal. A smaller gas station or party store-type business can usually be found in the local paper. On the other hand, if you are looking for a larger company, an M & A consultant may be pricey (2-15,000 dollars for a retainer), but this is probably the best way to go. Be sure to ask the consultant many questions regarding his or her creditability. For instance, get a list of references and ask about the number of deals he closed in the past 12 months. Negotiating a purchase price involves a thorough valuation of the projected purchase. Evaluation of a business is essential because you need to know what you are paying for and how much you should pay. â⬠If you are a buyer, your valuation will also be helpful to you when you meet with lenders, so that you can help justify the mount you are asking to borrow. For this purpose alone, however, a valuation is not generally worth the effort.â⬠(Horn, 20) There are many different methods that you can use to properly determine the value of the entity. The most common methods are as follows: the Ability-To-Pay Method, this method is used in almost all buy/sell cases. It makes clear whether the acquisition can pay for itself out of its own cash flow. The Discounted Cash Flow Method is most often used when the company is going to be purchased as an investment and held for a limited number of years. It is also used in high-risk situations, such as highly leveraged deals that have more of a proportion of debt than usual. The third method is the Excess Earnings Method, used to value any profitable company. The Excess Earnings method ââ¬Å"assumes that a business is worth the market value of its tangible assets, plus a premium for ââ¬Ëgoodwill' if the earnings are high enough.â⬠(Horn, 51) Another area that must be calculated is goodwill. ââ¬Å"Goodwill is not an operating cost and cannot be depreciated. It does not provide you with tax reliefâ⬠¦Ã¢â¬ (Smorenburg, 114) Since there is no record of the worth of goodwill, it can be fairly difficult to determine an accurate buying price. Usually the seller will set the price based on their knowledge of the company. The set price, however, should be reasonable. Negotiations can be made to produce an agreeable price. The next step is to set a purchase price. ââ¬Å"There is no right or wrong way to value a business. Each company has different characteristicsâ⬠¦ Obviously, the seller will argue that the net asset value method is right because that's what he invested in the business.â⬠(Tuller, 103) You should consider all factors in the P/E/ ratios, liquidation value, net asset value, and historic and projected cash flow. After analyzing these aspects of the business, you should be able to determine a fair price for the entity. ââ¬Å"The letter of intent is a document that aims to formalize the terms around which a later negotiation will revolve. As such, the letter is primarily a tentative offer that remains subject to further negotiations and confirmation of material facts through a process of due diligenceâ⬠¦By offering a letter of intent, you tangibly solidify your resolve and thereby make the seller understand that you are a serious buyer.â⬠(Smorenburg, 126) The letter of intent covers the precise terms of the deal, the payment details, and management and other issues involving the transfer. You need to give your accountant and lawyer a draft of the letter for review. This way, you are protected from any loopholes that can harm you. It proves that you are a serious buyer and entices the seller to more openly discuss sensitive aspects of the business. The letter is a written contract that can be legally cancelled at any time without the consent of the other party, so be sure that you and the seller are in agreement. Once everything is settled and you and the seller are in agreement to the term of the letter of intent, the next task you face is finding the initial capital. Using other people's money to finance a purchase is a key ingredient if business success. Financing falls into two separate categories: debt and equity. Debt financing is the most elementary of the two. It is basically taking a loan from a lender and paying it back with interest. It is reliant on the business or individual's ability to pay the loan off. Usually, collateral will be made available to the source of the loan in the case that you cannot continue to make payments. A good credit history and reputation is another aspect that financing is reliant upon. With these, a loan is much easier to get. ââ¬Å"Equity financing means obtaining funds in exchange for selling or giving up a part of interest in the business. Equity financing is not a loan; rather, it is the sale of a part of you business.â⬠(Fallek, 82) The popularity of equity financing has increased in the high tech industries in the past few years. However, selling a part of your newly purchased business may not be your cup of tea, so choose your type of financing wisely. Some traditional sources of capital include yourself, family and friends, commercial banks, loan companies, insurance companies, credit unions and private investors. The old saying, ââ¬Å"don't mix business with pleasureâ⬠is applicable when dealing with family and friends. Taking a loan from these sources can cause turmoil if the loan cannot be paid back. Banks are the standard for business lending. ââ¬Å"The amount they charge is based on two factors: the size and history of the customer and the risk the bank will take in providing the loan.â⬠(Fallek, 85) If you are able to decrease the bank's risk and have a standing credit line, you will get the most out of your loan. The other types of traditional lenders are less frequently used, but are also good sources of capital. ââ¬Å"Nontraditional money sources are unlimited in number and type, but you need to be creative to acquire the necessary funds from them.â⬠(Fallek, 89) These sources include customers, suppliers, leasing companies, local development companies, and advertising for money. Customers or potential customers are often great sources of funding, as well as suppliers. Suppliers will furnish you with the necessary equipment and product. Leasing companies and local development companies are also good nontraditional sources of capital. ââ¬Å"You can actively seek funding by running a display advertisement in the business section under the appropriate heading in the classified ads of your local newspaper. Specify the amount of money needed and the type of business for which it will be used.â⬠(Fallek, 91) Yet another source for funding might be through the Small Business Administration. They offer different types of loan programs to small businesses. The SBA Guaranteed Loan Program grants a loan on the basis that the individual needs more time than allotted by other lenders to pay back the loan, has insufficient credit, or lack business experience. ââ¬Å"There are no restrictions as to the number of SBA loans a company or individual may have, as long as the SBA's exposure does not exceed $750,000.â⬠(Fallek, 96) The final step in acquisition of a business is the closing. You will need a lawyer if you don't currently have one. The search for the right lawyer requires certain questions to be answered. For instance, you want to find out the lawyer's hourly rates, experience, availability, if there is any conflict of interest between the lawyer and the seller, and any other applicable questions. The best way to find a lawyer is word of mouth, ask friends and family for references. When a lawyer is located, you must then begin the audit review. ââ¬Å"Even thought most buyers work with their local CPA in preparing the business plan and counsel with him on tax matters relative to the acquisition, the audit review should be preformed by an independent CPA firm in the same city as the target company; preferably on of the ââ¬ËBig-5' firmsâ⬠¦ The audit review consists of a comprehensive look at business since the last audit with particular emphasis on determining the adequacy of internal controls and internal reports.â⬠(Tuller, 192) Be sure to take this step, it examines all aspects of the business and insures that it is a safe investment. After this is complete, it's time to close the deal. The documents generally needed for proper closure are: a buy/sell agreement, an earn out agreement, a promissory note terms and conditions agreement, title search and title insurance, lease agreements, employment contracts, personal guarantees, and an equity agreement with the lender. These documents are dealt with and an announcement should be made to the employees, customers, and vendors of the change in ownership. ââ¬Å"There is a mood of anticipation, of excitement, and even-if the truth be know-of fear. Of all the events which take place in the business world, nothing can match an acquisition closing for pure excitement and thrill.â⬠ââ¬Ë(Tuller, 203) the actual signing of the transfer documents will not usually take more than an hour. The key is not to worry about what you are signing, that's what your lawyer is for. After all the money spent, the time devoted and the effort put forth, the business is finally yours. Running your own business can be very rewarding. You don't have anyone to answer to besides the government. You are in complete control. Along with this the ability to write off certain expenses is enough of a reward in itself. The effort you put forth is completely up to you. The life and death of the business is in your hands.

The Role of the Individual in Candide
All around the world the roles of the individual and of society are completely abstract. As the world changes and develops, the roles of the individual and society change to meet the needs of the people. Voltaire's Candide which involves France during the Age of Enlightment & Marx & Engels' Communist Manifesto which involves Germany around 1848 both discuss the roles of the individual and of society in different ways. In both pieces of literature what is expected of the individuals and of society is very different from what is presently happening. The Communist Manifesto discusses human nature and social class while Voltaire discusses the flaws of society and the realities that not everything is for the best. In Communist Manifesto, the role of an individual is to be an equal and work towards the greater good of society and the role of society is to provide equality for all people. However in Candide, the role of an individual is to be an individual while the role of society is based upon the society you are living in. The role of the individual according to Marx and Engels is to be an equal with everyone else in society. The immediate aim of the Communists is the same as that of all other proletarian parties: Formation of the proletariat into a class, overthrow of the bourgeois supremacy, conquest of political power by the proletariatâ⬠(Communist Manifesto 13) The Bourgeois are the 0. 1% of the population that owns the means of production and The Proletariat are laborers who are 99. 9% of the population. Carl Marx state s here that the goal of Communism is equality for all. If you overthrow the Bourgeois it insures that power will be balanced because its 99. 9% in control now instead itââ¬â¢s 0. 1% in control. Marx describes his distaste for how everyone in society is being manipulated by the small percentage in control. Marx goes on to say that ââ¬Å"The Bourgeoisie has subjected the country to the rules of the towns. It has created enormous cities, has greatly increased the urban population as compared with the rural and has thus rescued a considerable part of the population for the idiocy of rural lifeâ⬠(Communist Manifesto 7) People are being control in a majority of their daily routines and being an individual is not something truly supported by the Bourgeoisie. ââ¬Å"You say individuality vanishes. You must therefore confess that by ââ¬Å"individualâ⬠you mean no other person than the bourgeois, than the middle-class owner of propertyâ⬠(The Communist Manifesto 16) The idea of communism is to encourage people to actually be individuals while being an active member of society. Although the role of the individual are made very clear by Marx they fail due the ideals of human nature. It is said that the human nature can be considered the downfall of communism. Communism as proposed should be extremely successful but due to human nature there is no way for communist success. The success declines as soon as it starts because people lose motivation. People have no motivation to work as hard as they possibly can because everyone is economically equal. This is a flaw of the communist society as opposed to capitalism. Marx wants people to work as an autonomous collective to gain power and take it away from capitalism however, people are only invested in something that benefits them, and communism relies on an ââ¬Å"all for one, one for all attitudes. According to The Communist Manifesto. the role of society is to provide equality for all people. As stated ââ¬Å"In bourgeois society, living labor is but a mean to increase labor. In communist society accumulated labor is but a means to widen, to enrich, to promote the existence of the laborerâ⬠(The Communist Manifesto 15) Marx describes a comparison between the society currently and what Marxââ¬â¢s hopes society will be. Individuals are promised so much more in a Communist society. The difference between the idea of increasing labor and widening labor although minuscule provides hope for the people who are sick of their current society. In communist society, the present dominates the past. In bourgeois society, capital is independent and has individuality while the living person is dependent and has no individualityâ⬠(The Communist Manifesto 15). This shows how people, while working toward the greater good have their own individuality under communist society. In a Communist Society although people are allowed to be unique they are all considered equal no matter what. In Candide the role of an individual is to be an individual. Voltaire, throughout the skill of repetition exploits how people behave. He describes for instance how everyone feels someone is better off than they are. Voltaire uses Candide's journeys to portray the human assumption that the grass is always greener on the other side. Now even though most people are not pleased with how their lives are currently, they are esteemed individuals. Individuals work for the benefits of themselves as they cultivate their farms and work hard to make sure their families are well fed and stable. ââ¬Å"ââ¬ËI have only twenty acres of landââ¬â¢ replied the Turk, ââ¬Ëwhich my children and I cultivate. Our work keeps us free of three great evils: boredom, vice and povertyââ¬â¢Ã¢â¬ (Candide 112). This shows how in Candide, societyââ¬â¢s individuals work hard on their own to make something out of themselves. According to Voltaire in Candide the role of society clearly depends on what kind of society you are currently living in. Societies, according to Voltaire had many flaws. As Candide comes to the land of Eldurado, we are shown an almost flawless society. ââ¬Å"Candide asked to see the law courts, he was told that there were none, that lawsuits were unknown. He asked if there were prisons; the answer was no. â⬠(Candide 64) In this nearly flawless society all men are free and the king is the complete opposite of a tyrant. ââ¬Å"I know my country doesnââ¬â¢t amount to much, but when man is fairly well of somewhere, he ought to stay there. I certainly have no right to prevent foreigners from leaving: that kind of tyranny is sanctioned by neither our customs nor our lawsâ⬠(Candide 66). Another society Candide discusses is Paris. ââ¬Å"Yes, Iââ¬â¢ve been in Paris: itââ¬â¢s a mixture of everything found in all the provinces. Itââ¬â¢s a chaos, a restless throng in which everyone is looking for pleasure and hardly anyone finds it, or at least thatââ¬â¢s how it seemed to meâ⬠(Candide 75) In Paris it seems that this society has no partake in itââ¬â¢s citizens lifestyle. The individuals yearn for what society has to offer them. Voltaire uses satire to take aim at the military, religion, and societies' shallowness to disprove Panglossââ¬â¢ theory that ââ¬Å"all is for the bestâ⬠. The world that we live in is not the best of all possible worlds.

Chinese experimental theatre is a hybrid product characterised by a convergence of extra- cultural and intra- cultural - Essay Example One of the most famous theater directors in Chinaââ¬â¢s avant-garde theater is Meng Jinghui. Meng Jinghui became attracted to Chinese literature while completing his secondary school education. Meng Jinghui became interested in acting while pursuing an undergraduate degree at the Capital Normal University. Meng Jinghui perceives that his debut into acting was a causal attribution of a metamorphosis in his life. Meng Jinghuiââ¬â¢s initial acting part was that of a Kuomintang infantryman, it was a silent part. Meng Jinghuiââ¬â¢s first speaking acting part was as a chef where he stated: ââ¬Å"Meal time, meal timeâ⬠. Meng Jinghui acknowledges that the art of acting open a window for him to all of the advanced cultures of the world and their diverse literary perspectives. As a college senior, Meng Jinghui was introduced to avant- garde playwrighting when he readapted the Story of Western Chamber. This was a Yuan dynasty romantic opera. Meng Jinghui adapted the romantic oper a into a modern comedy with three distinct endings. One of the endings was an adaptation of Henrik Ibsenââ¬â¢s A Dollââ¬â¢s House. While studying at the university, Meng Jinghui was able to interpret works by Pinter, Ionesco, Beckett and Genet. Meng Jinghui learned that farcical theatrical presentations reaffirmed the concepts which he would late apply. These concepts consisted of injecting comedy and musical interludes into his playwrighting. In 1992, Meng Jinghui was able to find suitable employment with the National Theatre Company of China. This occurred consequent to his graduation from the Capital Normal University (China Culture 2006). In the years which followed, Meng Jinghui directed over ten major Chinese theatrical presentations. Meng Jinghuiââ¬â¢s major theatrical presentations include: Comrade AhQ, Waiting for Godot, The Accidental Death of an Anarchist, Rhinoceros in Love, Si Fan, The Balcony, I love XXX and Bootleg Faust. Meng Jinghuiââ¬â¢s specialty is to dissect the work of other playwrights, reinterpret them and then to aggregate a comical and musical perspective to them. Meng Jinghuiââ¬â¢s specialty also includes the ability to interpret these works and to present them within the parameters of the requisites of the Chinese government (China Culture 2006). Many of Chinaââ¬â¢s leading playwrights have selected Henrik Ibsenââ¬â¢s style of realism as the predominant style in theatrical presentation. Other playwrights are considered in the production of Chinese theatre. These playwrights are Anton Checkhov, George Bernard Shaw, and Constantin Stanislavsky. Henrik Ibsenââ¬â¢s style of realism is considered in the light of Chinaââ¬â¢s socio- economic context (Zhao 2010).
